Brooks Automation Receives Clearance from Foreign Competition Authorities for Proposed Sale of its Software Division to Applied Materials


CHELMSFORD, Mass., Feb. 6: Brooks Automation, Inc. (NASDAQ:BRKS) today announced that the Irish Competition Authority (ICA) has announced the completion of its investigation of the proposed sale of Brooks Software, a division of Brooks Automation, Inc., to Applied Materials, Inc. The ICA concluded that the results of the proposed transaction will not be to substantially lessen competition in markets for goods or services in Ireland, and may accordingly be put into effect. In addition, competition authorities have cleared the transaction, or the applicable waiting period has passed without action by applicable competition authorities, in each of the other foreign jurisdictions where a filing was required. With these actions, the only remaining competition review still pending is with the Antitrust Division of the U.S. Department of Justice (DOJ), with which Brooks continues to cooperate. Brooks is hopeful that the review by the DOJ will be complete and the other conditions to the closing of the transaction will be satisfied in time to permit a closing during the first calendar quarter of 2007.
