The Sarbanes-Oxley Act of 2002 introduced major changes in the regulation of financial accounting and corporate governance. sub-certification process enables employees to use electronic signature
capabilities to sign a company's code of conduct and compliance
certification (a paper-based version is also available.) Upon
completion, signed forms are archived in the Kenexa tracking system for
reporting purposes.

o Board of Directors Assessment - A newly enacted governance rule from
the New York Stock Exchange requires that boards of directors of listed
companies conduct self-evaluations at least annually. To help
organizations meet this requirement, Kenexa utilizes its significant
experience in assessments to provide insight on both individual and
overall board member effectiveness, identify gaps in board expertise,
and establish the criteria for the selection of new board members.
