Endeavors Technologies and Partner Advantage Form Joint Venture to Realize Software as a Service Opportunities

New Company to Offer Microsoft Applications on a Rental Basis to Consumer and SMB Markets

IRVINE, Calif. and LONDON, Nov. 27 -- Endeavors Technologies, the pioneer in application streaming and virtualization technology, and its parent company, Tadpole Technology plc, today announced they have signed an agreement with Partner Advantage Ltd., a leading Microsoft partner. Under the agreement, the companies have formed Exstream Soft Ltd., an organization dedicated to providing Microsoft applications via a Software as a Service (SaaS) model.

Exstream Soft will offer leading Microsoft applications on a monthly subscription basis to small and medium sized businesses, as well as home users. Users initially access applications over the web and once an application is streamed to the users' desktop, it is also available for use offline. Exstream Soft will offer Microsoft SaaS applications through a pan-European network of retail, ecommerce and business partners in a 'white box' format, enabling each partner to brand and package the products to meet their own requirements.

"We believe the software industry is on the verge of a radical change," said Mat Clothier, director and CEO of Partner Advantage. "In anticipation of these changes, we have developed a rental-based software business model and identified Endeavors' application streaming solution as the key enabling technology. Our organizations share a vision and belief in the enormous market opportunity for software rentals. The formation of Exstream Soft allows us to immediately hit the ground running as software publishers announce new licensing models to address the SaaS model."

"Both application virtualization and application streaming help ISVs open the door on new revenue opportunities such as Software as a Service," said Michael Rose, Research Analyst covering Virtualized Client Computing for IDC. "The combination of streaming and virtualizing applications simplifies the delivery of applications while eliminating many of the complications involved in installing applications into heterogeneous client environments."

"The convergence of virtualization, application streaming, and SaaS could fundamentally change the way software is delivered," said Andi Mann, Research Director at Enterprise Management Associates. "It streamlines delivery by removing many traditional barriers, providing an agility and flexibility that is hard to match with legacy technologies. EMA believes this emerging model presents a compelling value proposition, and Exstream Soft is among the first to provide this value directly to software publishers."

Exstream Soft has developed the distribution models, logistical capabilities and technology platform to enable the monetization of software products and capitalize on anticipated changes to software licensing models. The platform is based on a multi-layer distribution model utilizing application streaming and virtualization technologies from Endeavors'. Trials are planned for early 2008, subject to the introduction of updated software licensing models.

Endeavors' Application Jukebox SaaS Edition addresses key concerns expressed by Microsoft and other software publishers, including:

o Non-invasive digital rights management (DRM) to easily transform any
existing application into a SaaS candidate, with far greater copy
protection than afforded by other software distribution methods
o Web-based delivery to allow any user with Internet access the ability
to use SaaS-based applications
o Distribute and rescind functionality so that software publishers are
able to selectively revoke a user's ability to continue using an
application
o Per-user, per-second, per-application usage tracking and logging,
providing the flexibility publishers need to implement any pricing
model to meet their business requirements

"Microsoft's recent statements of direction regarding offering 'software plus services' influenced our decision to act preemptively to capitalize on the potential of this new business model." said Peter Bondar, CEO of Endeavors Technologies. "Endeavors and Partner Advantage have been working for several months on 'proof of concept' models with a number of retailers and distributors and the feedback is very encouraging. I am extremely optimistic about the opportunities for this joint venture. Partner Advantage is led by a dynamic team, recognized for its success, and we look forward to working together to create another lucrative venture."
