Windjammer Capital Investors Acquires Hermetic Solutions Group

Tinton Falls, NJ – February 27, 2019 – Hermetic Solutions Group (“HSG” or the “Company”), a leading global provider of mission-critical, highly engineered component and protection solutions, announces that it has been acquired by Windjammer Capital Investors (“Windjammer”), a middle-market focused private equity investment firm that values close partnership with portfolio company management. The terms of the deal were not disclosed.

William J. Hubbard, President and CEO said, “This is an exciting time for Hermetic Solutions Group. Since the company formed two years ago, our entire team has worked tirelessly to establish a strong foundation in support of our customers’ every hermetic requirement. Windjammer offers an additional level of professional resources that will enhance our efforts of putting the customers at the center of everything we do – from operational excellence to identification of new growth opportunities that complement our existing businesses – we are well positioned to meet and exceed customer expectations. I’m extremely proud of what HSG has accomplished and look forward to our bright future.”

“The acquisition very much aligns with our original vision for Hermetic Solutions Group; that is unparalleled levels of service and product offerings in the hermetic products space. We see nothing but upside for our customers and employees and are positioned well for growth in 2019 and beyond,” said Rick Ferraid, Chairman of the Board.

As part of its commitment to HSG, Windjammer has created a strong Management Board to support HSG’s customer-centric vision as it develops and executes its strategic plan. The Management Board will be comprised of HSG and Windjammer Executives, as well as external industry and functional experts, including Mike Vickers, former U.S. Under Secretary of Defense for Intelligence, and Brenda Reichelderfer, a board director at Moog Aerospace and past member of the Army Science Board and Missile Defense Agency’s Technology Transfer Advisory Board. Brenda also brings extensive General Management, Engineering and Operations experience, most notably at TriVista and ITT Corporation.

“During our due diligence it became increasingly clear the critical role HSG plays within the supply chain of its long-tenured customer base, which itself is a function of the Company’s differentiated value proposition stemming from the breadth of its product offering, application engineering and materials science know-how, and specialized manufacturing and process technologies,” said Craig Majernik, Managing Director at Windjammer. “We are thrilled to have the opportunity to work with the HSG management team and our partners on the board to help accelerate the growth of the business and support the Company’s continuous improvement initiatives that will allow it to provide an even better level of service to its customers.”
