INCAT announces acquisition of CEDIS Mechanical Engineering GmbH


Strengthens INCAT engineering and design operations, expands client base in Europe

Stuttgart and Detroit, January 9, 2006 - INCAT, a Tata Technologies company, and a leading provider of Product Lifecycle Management (PLM) services, Engineering and Design (E&D) services, consulting, software solutions and associated services to automotive, aerospace and industrial manufacturers announced today the acquisition of CEDIS Mechanical Engineering GmbH, a Stuttgart, Germany-based provider of automotive engineering and design services to some of the world's leading manufacturers.

"This expands the presence of INCAT in Germany, and in Europe overall, with proven competencies in engineering and design, as well as in CATIA® support," said Wolfgang Zoefgen, INCAT Managing Director - European Operations. "Further, this acquisition - as well as our 2005 acquisition of Rand France S.A. - diversifies the INCAT client base and positions INCAT to widen its PLM consulting and support services offerings."

CEDIS, a privately owned company with 50 employees, was founded in 1992, and is headquartered in Stuttgart, Germany. The company, while primarily a provider of engineering and design services, also provides CAE education and consulting in rapid prototyping, as well as hardware and software support services. These professional services offerings are now part of INCAT's European operations.

The CEDIS executive team, Mr. Markus Schleer and Mr. Ralf Weber, will join the INCAT European operations in senior management positions. Mr. Schleer will continue to serve as CEDIS Managing Director and will become INCAT GmbH Head of Design Services. Mr. Weber will join the INCAT GmbH management team.

The top CEDIS clients include Johnson Controls, DaimlerChrysler, MAHLE, Modine Europe, Eberspacher, ORIS, Lear Corporation, Mercedes AMG, Alpine Electronics, BOS and others.
