Keane Announces Special Meeting of Shareholders to Vote on Caritor Acquisition of Keane


BOSTON, April 13 -- Keane, Inc. (NYSE:KEA), a leading business process and IT services firm, today announced that it has filed a definitive proxy statement with the Securities and Exchange Commission and scheduled a special meeting of shareholders to vote on the previously announced definitive agreement under which Caritor, Inc., a global provider of IT services, would acquire Keane. The meeting will be held on Tuesday, May 15, 2007 at the offices of WilmerHale, 60 State Street, Boston, Massachusetts, at 10:00 a.m., local time. All Keane shareholders of record as of April 5, 2007, will be entitled to vote at the special meeting.
As announced on February 7, 2007, Caritor and Keane entered into a definitive agreement for Caritor to acquire Keane for an all-cash purchase price of approximately $854 million. Under the terms of the merger agreement, holders of Keane's common stock will receive $14.30 per share in cash, pending Keane stockholder approval and customary regulatory approvals, as well as satisfaction of other customary closing conditions.
