Dynitech Systems to Merge with Earnest & Associates

BALTIMORE, Feb. 1 -- Earnest & Associates, Inc. ('E&A') a value-added provider of software systems and services, is pleased to announce that it has signed an agreement to merge with Dynitech Systems, Inc. ('Dynitech') of Springfield, Illinois. The combined company will provide information technology services to over 400 businesses nationwide. E&A's existing office in Glen Burnie, Maryland will serve as corporate headquarters while the Springfield location will continue to operate as a sales, business consulting, software development and technical support facility.

The parties anticipate closing the transaction by March 1, 2007. With the merger, E&A will employ 70 professionals in eight states and approach $11 million in annual revenues. Founded in 1978, E&A has established itself as the largest services company in North America dedicated to supporting Infor's Distribution Essentials product line, including the Infor ERP FACTS, Infor ERP SX.e and Infor ERP TakeStock software systems.

Founded in 1982, Dynitech has long been recognized as a top-tier Infor solutions partner focusing on software, hardware and consulting services to the distribution industry. "Dynitech has excelled at helping its customers achieve profits," said Tim Earnest, President of E&A. "Together, our company will provide technology support services to a customer base that collectively ships millions of inventory items worth over six billion dollars in annual revenues. By combining our operations, E&A will significantly expand its expertise and offer localized services to businesses in the Midwestern U.S."

Dynitech owner, Scott Fisher, will be a principal at E&A and will manage the Springfield site. "Technology changes are shaping a new competitive dynamic and creating tremendous opportunities. We're creating a company with increased capabilities to seize these opportunities while maintaining our strong focus on customer service," he said.

Dynitech owner, Lynn Fisher, will be a principal at E&A with continued focus on business development activities. "This transaction combines sales and management strengths with innovative products and a great group of dedicated employees who create substantial value for customers of both Dynitech and E&A," Lynn commented.
