Artemis Beteiligungen III AG Becomes New Majority Shareholder of Feintool with 81.2%


The Feintool Board of Directors acknowledges that Artemis Beteiligungen III AG, owned by Michael Pieper, has acquired a majority stake in Feintool under the terms of the public purchase offer of 31 January 2011. It holds 81.2% of the company's equity as of 7 April 2011. Subject to completion of the transaction, it will therefore have an equity stake of over two-thirds. Michael Pieper confirms the existing direction of the Feintool Group, whereby the Board of Directors will continue its work within the current structure. He also confirms his intention for the company to remain listed on the SIX Swiss Exchange. An election to replace Monika Löffel-Bösch, who resigned as a member of the Board, will take place at the General Meeting in January 2012 at the earliest. The operational business will be run by the current management, under the leadership of CEO Heinz Loosli. Feintool's long-term strategy will be pursued with vigour.

Monika Löffel-Bösch will step down as a member of the Board of Directors as announced, with effect from 7 April 2011. She is giving up her position after 16 years as a member of the Board, of which two as Deputy Chairman and Chairman of the Nomination and Compensation Committee, following the tender of Bösch & Co. shares to Artemis Beteiligungen III AG under the public offer. The Board would like to thank Ms Löffel-Bösch for her very constructive cooperation and her valuable contributions to Feintool's development, in a period which saw the company evolve from a family-owned business to a listed global technology leader in the fineblanking business.

The Feintool Board of Directors will therefore comprise Wolfgang Feil, Dr Michael Soormann, Franz Stampfli, Dr Kurt E. Stirnemann, and Chairman, Alexander von Witzleben. The roles of Deputy Chairman and Chairman of the Nomination and Compensation Committee will be assigned by the Board at its next ordinary meeting. A replacement for Monika Löffel-Bösch on the Board of Directors will not be appointed before the next ordinary General Meeting in January 2012. Certain other seats on the Board may also be the subject of elections at this time, in accordance with the terms of office defined in Feintool's Articles of Association.
