Aperture's Board of Directors Agrees to Acquisition by Emerson


The addition of Aperture to Emerson's technology portfolio to increase Aperture's global reach and enable customers of Emerson's data center power and cooling products to manage data centers more easily

STAMFORD, Conn., Feb. 25 - Aperture, the leading global provider of software for managing the physical infrastructure of data centers, today announced that after careful consideration, Aperture's board of directors has agreed in principle to Emerson's offer to acquire 100% of Aperture's share capital. The acquisition will become final once all Aperture shareholders have agreed to its terms.

The financial terms of the agreement will not be disclosed.

Emerson (NYSE:EMR) is a diversified global technology company that provides a wide range of products and services for a broad variety of industries and markets. Emerson has approximately 140,000 employees and 265 manufacturing locations worldwide. Its 2007 revenue was $22.6 billion.

Aperture will become a division of Emerson Network Power, an Emerson business platform with annual revenues of approximately $5.2 billion. The addition of Aperture to Emerson Network Power's portfolio will complement and enhance Emerson's Liebert product line. As the physical infrastructure of data centers become rapidly more complex, driven by increasing demand for power and cooling coupled with technology advancements in IT hardware, the combination of the Aperture VISTA® products and the Liebert critical power, cooling and monitoring technologies supplied by Emerson, will enable data center professionals to manage that complexity more easily. By implementing tools and technologies that help them better understand the dynamics of the data center infrastructure, data center management will be better able to control these critical operations and thus increase the availability of business-critical systems.
