Agilent Technologies, Centellax Announce Agilent Will Acquire Centellax's Test and Measurement Business

SANTA CLARA and SANTA ROSA, Calif., April 27, 2012 - Agilent Technologies Inc. (NYSE: A) and Centellax today announced they have signed a definitive agreement for Agilent to acquire the assets of Centellax's test and measurement business. Centellax, a privately held company, designs and manufactures key technology and products such as bit-error ratio testers and signal generators used for testing high-speed digital communication systems and components.

The acquisition, subject to customary closing conditions, is expected to be completed in about two weeks. Financial details were not disclosed.

Centellax has established itself as a recognized supplier of test products for high-speed communications. Agilent is the market leader in the characterization of high-speed digital interfaces.

The acquisition will help Centellax's and Agilent's customers to obtain comprehensive insight into their high-speed devices with a full spectrum of test solutions. Centellax's test and measurement business augments Agilent's current position and ongoing investments to cover all requirements in digital I/O and optical transceiver test from deep characterization in R&D to cost-effective test in manufacturing up to 32G and beyond.

"We are very excited about combining the strengths of both companies in the BERT application space," said Juergen Beck, Agilent general manager, Digital and Photonic Test Division. "Adding Centellax's products and technology enables us to address the complete life cycle needs of our customers and underlines our commitment to this industry."

"We are very pleased by the opportunity this transaction represents for Centellax T&M's customers and employees," said Julio Perdomo, Centellax CEO. "We are proud of the team and the product line we have designed, built and brought to market. Looking into the future, I am confident that under Agilent's leadership this business unit will thrive."

Centellax's test portfolio includes bit-error ratio testers, pattern generators, clock synthesizers, signal-integrity studio software, and test accessories. Centellax's component business is not part of this transaction.
