Greenshoe option relating to Nyrstar IPO not exercised
At the time of the initial public offering (IPO) of Nyrstar in October, Umicore and Zinifex (the "Selling Shareholders") granted the underwriters of the IPO an option (the "Greenshoe Option") to purchase at the offer price (20 per share) up to 13,043,478 additional existing ordinary shares of Nyrstar to cover over-allotments. This represented 13.04% of the shares of Nyrstar.
This Greenshoe Option has not been exercised. As a result Umicore and Zinifex will retain stakes in Nyrstar of 5.25% and 7.79% respectively. Umicore and Zinifex have agreed (subject to customary exceptions) to a 360 day lock-up period from the commencement of conditional trading (29 October 2007) of these shareholdings. Umicore's shareholding in Nyrstar will be classified as a financial investment held for sale.
