Acquisition Serves as the Retail Cornerstone for RedPrairie's E2eTM Strategy and Will 'Revolutionize the Chain' Across a Multitude of Industries

Milwaukee, WI and Atlanta, GA - RedPrairie Corporation, the world's fastest growing supply chain company, and BlueCube Software, Inc. have jointly announced today that they have signed a definitive agreement, whereby RedPrairie will acquire BlueCube Software. The combined companies, operating under the name RedPrairie Corporation, will unify and support all products and services from both organizations within RedPrairie's revolutionary end-to-end E2eTM suite, offering an expanded customer base access to more abundant and rich solution capabilities, deeper retail-specific functionality and wider geographic support. BlueCube Software President Kim Eaton will continue to serve in the Retail / Store Operations business leadership position out of Atlanta, under the direction of RedPrairie Company Leader John Jazwiec. The acquisition provides a cornerstone for RedPrairie's revolutionary E2e consumer-driven strategy that will drive value to every participant in the supply chain process by uniquely connecting store operations with manufacturing, workforce performance and distribution.

Says Jazwiec, "Whereas traditional supply chain forecasting drives decisions from manufacturers to the store shelf, RedPrairie, through its acquisition of BlueCube Software, is embracing and enabling a more efficient, forward-thinking, consumer-driven supply chain. By extending shelf level visibility and control downstream to manufacturing, we are creating a model in which a consumer purchase acts as the trigger for replenishment. This enables retailers to transfer inventory management responsibility to suppliers to effectively reduce inventory carrying costs and cycle times."

Eaton comments, "As the leader in Retail Operations Management, we are excited about how our customers can benefit from this partnership. Becoming part of RedPrairie gives BlueCube Software customers new opportunities to improve their business through a comprehensive suite of supply chain and workforce management tools. We envision that this alliance will strengthen our best-in-class product set; we will help customers reach further into the supply chain to connect store operations with suppliers, resulting in even greater operational control, visibility and efficiencies. We will also continue to ensure that the right people are in the right place at the right time, all across the chain, with consistent focus on the retail and hospitality outlet. Ultimately, we will better support the needs of end consumers, and act as a key driver behind RedPrairie's E2e vision."

The combination of RedPrairie's superior E2e Workforce Performance and Supply Chain Management solutions with BlueCube Software's exceptional Workforce Forecasting and Scheduling capabilities creates the broadest workforce offering in the industry and offers a unique, complementary mix of scheduling, measurement and accountability across many vertical sectors. BlueCube Software's Workforce Scheduling application creates the most efficient and lowest cost schedules based on criteria including: labor supply, skill and rank; pay rates; labor laws; preferred shifts; union rules; and many other factors. When coupled with RedPrairie's advanced Workforce Performance Management solution, the scheduling application will be able to factor in known employee productivity levels to drive unprecedented savings and efficiencies.

This acquisition will close in the next 20-30 days. The combined company is expected to generate $207.5 million in revenue and $45.6 million EBITDA, and employ 950 employees across 21 global sites.
