NSF International Makes Offer to Acquire CMi


Combined Business Addresses Growing Global Food Safety Concerns

(ANN ARBOR, MI, USA & LONG HANBOROUGH, OXFORD, ENGLAND, UK) - NSF International, a global testing and certification company committed to public health protection, today announced that it has reached agreement on the terms of a recommended cash offer to acquire CMi plc, a leading European food safety and assurance company operating throughout the food supply chain.

"The completion of this deal would bring together two highly respected organisations, which, with our combined resources and capabilities, will be able to establish a leading position in the global food safety market. With the increased consumer concern about foodborne illness outbreaks and industry focus on brand protection, these combined service offerings would help the food industry reduce risk and demonstrate compliance with international standards and regulations.

Clients across the food supply chain, from processors and producers to supermarkets and restaurants would benefit from a combined portfolio of services. Clients would have access to comprehensive farm-to-fork food safety solutions, delivered on a global scale.

NSF International intends to operate CMi as a standalone business within NSF International Food Safety LLC, supported by the added resources of NSF International. In addition to continuing to develop and expand its presence in the UK, once the offer completes, CMi will be responsible for further developing the combined entity's food safety operations in Europe.
