Kontron AG Acquires Majority Stake in Swiss Company DIGITAL-LOGIC AG

o 78 percent stake in specialist for ruggedized computers
o "Lucky Buy" expands product range in high-margin segments
o Revenue and earnings growth from sales and purchasing synergies

Eching, Munich, September 17, 2009. Kontron AG has acquired a majority stake in the unlisted Swiss company DIGITAL-LOGIC AG, which is based in Solothurn. As the Eching-based computer manufacturer announced today, it has acquired 78 percent of the shares in the company (EUR 15 million of annual revenue, 100 employees), a takeover of 100 percent is intended. The purchase price amounts to a mean single-digit figure in the millions.

DIGITAL-LOGIC specializes in compact, "rugged" embedded boards and systems. These particularly robust computers are used in highly sensitive applications in areas that tend to be independent of the economic cycle such as government, transportation and medical technology. The compact systems allow Kontron to access a new and complementary technology, thereby supplementing Kontron's product portfolio in these high-margin market segments.

This move also allows Kontron to extend its presence in the central European region, and the company anticipates further gains in market shares: in addition, and in particular, contributions are also expected to result from synergy effects generated by its integration into Kontron's international sales network, and the improved purchasing terms DIGITAL-LOGIC will benefit from.
